Abstract
Section 21(a) of the Securities Exchange Act gives the SEC the option of publishing a report of its findings after conducting an investigation. Typically, the SEC issues such reports about once a year to highlight major compliance and enforcement issues. This Article examines the SEC’s use of Section 21(a) investigative reports with special attention to its 1979 report in Spartek, where Commissioner Roberta Karmel filed a famous dissent. In that opinion, she argued that the report effectively sanctioned conduct over which the SEC did not have jurisdiction and that Spartek did not have sufficient notice of its regulatory obligations. While such concerns have not been at issue in most Section 21(a) reports of investigation, they were recently raised by the SEC’s report in DAO, which analyzed whether a digital token was a security under the Howey test. While the SEC’s conclusion was reasonable, it was a close call, and the report did little to clarify the scope of the SEC’s jurisdiction over tokens. The SEC should be cautious in using reports of investigation to define its own jurisdiction and should actively seek adjudication to confirm the scope of its authority.Date

Liberia Public Expenditure Review Note : Meeting the Challenges of the UNMIL Security TransitionUnited Nations Mission in Liberia; World Bank (World Bank, Washington, DC, 2013-04-22)A history of poor governance culminated in nearly fifteen years (1989-2003) of brutal conflict that destroyed lives, key institutions and infrastructure, and brought the Liberian economy to a halt. The origins of the conflict were rooted in the marginalization and/or exclusion over many years of a large part of the Liberian population from political power and the economic wealth flowing from the country s substantial natural resources. The new government articulated a broad vision of a peaceful, secure, and prosperous Liberia as described in lift Liberia-the country s first poverty reduction strategy. During this period, Liberia made good progress as the economy recovered and growth was sustained, especially in the urban areas. This was supported by macroeconomic stability characterized by low inflation, essentially balanced budgets, and a significant reduction in external debt as well as significant inflows of foreign direct investment to the agriculture and mining sectors. A second democratic election took place in October 2011 with a run-off in November that led to victory for the incumbent party, a process that was conducted peacefully and benefited from United Nations Mission in Liberia (UNMIL) and broad international support. Liberia must overcome economic, institutional, and security hurdles. Recognizing the positive impacts of peace and security on Liberia, the World Bank in close collaboration with UNMIL is assisting the government to identify the core security functions and their associated costs as well as options to ensure a smooth security transition. As such, this report does not carry out an in-depth analysis of public expenditure in the security sector. Instead, the costing of the security is based on the draft transition plan prepared jointly by the government and UNMIL, alongside the relevant costs outlined in the Liberia peace building program, a central component of which is the development of regional justice and security hubs.

Konstrukcja polityki bezpieczeństwa UEDanilevich, PolinaNiniejsza praca stanowi próbę systematyzacji i opisania konstrukcji wspólnej polityki zagranicznej, w tym zbiorowego bezpieczeństwa, w Unii Europejskiej. W pierwszym rozdziale przedstawione zostały teoretyczne ramy kwestii bezpieczeństwa: definicje, obszar i zakres pojęcia, omówiono również zależności między strategią bezpieczeństwa a polityką bezpieczeństwa. Rozdział drugi jest poświęcony historii powstania Wspólnej Polityki Zagranicznej i Bezpieczeństwa od momentu zakończenia II wojny światowej aż do czasów współczesnych. Kamieniami milowymi w tym procesie były Plan Europejskiej Wspólnoty Obronnej (Plan Plevena), Układy Paryskie i Unia Zachodnioeuropejska, Traktaty z Maastricht, Amsterdamu i Nicei, Europejska Strategia Bezpieczeństwa oraz Traktat Lizboński. Ta część pracy prezentuje, w jaki sposób doszło do przyjęcia współczesnej koncepcji WPZiB, z jakimi trudnościami mierzyli się liderzy i intelektualiści Europy i jak niełatwo przychodziło porozumienie w sprawie oddania części suwerenności państw narodowych w tym obszarze na rzecz Unii Europejskiej. W szczególności omówione zostały najnowsze założenia i mechanizmy działania wypracowane przez UE w odpowiedzi na sytuacje kryzysowe, wynikające z Traktatu Lizbońskiego.Politykę każdego państwa członkowskiego określają nie tylko ramy wspólnych polityk Unii Europejskiej, ale także zasady innych organizacji, do których przynależy. W rozdziale trzecim opisano funkcjonowanie organizacji, które wraz z Unią stanowią filary bezpieczeństwa w Europie (NATO, OBWE), ze szczególnym naciskiem na modele współpracy między nimi i sposoby łączenia czasem odmiennych stanowisk dotyczących kwestii bezpieczeństwa. Rozdział czwarty stanowi case study, omawiające przykład realizacji przez Unię Europejską wspólnej polityki bezpieczeństwa podczas konfliktu gruzińsko-rosyjskiego w 2008 roku, wykorzystane przez Unię mechanizmy i instrumenty oraz sposoby, w jakie udało się je implementować, nie posiadając własnej, ogólnoeuropejskiej armii. Na chwilę obecną, Wspólna Polityka Zagraniczna i Bezpieczeństwa wydaje się być instrumentem in statu nascendi. Rozwiązania zastosowane przez UE w Gruzji w celu wygaszenia bezpośredniego konfliktu wydają się być krótkoterminowe. Przykładowo, Misja Obserwacyjna Unii nie jest wciąż w stanie wejść i prowadzić działania na terenie Osetii Południowej i Abchazji, wbrew pierwotnym założeniom. Ponadto przedłużające się gruzińsko-rosyjsko-amerykańskie negocjacje nie przynoszą konkluzji zadowalających wszystkie strony sporu.

Governance of Securities Regulators : A FrameworkPratt, Richard; Berg, Alexander (World Bank, Washington, DC, 2014-03)This paper reviews the published work on the governance of regulatory authorities in order to identify the basic governance standards that apply and some of the factors that affect the implementation of good governance. There are four pillars of good regulatory governance: independence, accountability, transparency, and integrity. The regulator should be operationally independent from commercial and political influences in the exercise of its functions and powers. Accountability is the means whereby a regulatory authority is held responsible for the actions it takes. Transparency refers to the publication of relevant information designed to demonstrate consistency and openness. The fourth governance pillar, integrity, refers to the internal processes that the authority adopts to ensure there is discipline and consistency in its operations and to limit the risks of regulatory staff acting in their own self-interest as opposed to that of the authority and the market. These four elements are mutually reinforcing, in that accountability is necessary to provide legitimacy to independence, transparency is necessary to demonstrate that independence does not lead to abuse or improper behavior, and integrity is necessary to provide the discipline to control the exercise of independent powers. Available evidence suggests that independence and accountability are far from being universally applied in practice. The paper concludes with some practical suggestions that experience indicates are likely to enhance the effectiveness of the governance of securities regulators. Good governance of the securities regulator is necessary for effective regulation. It is also of importance in setting an example to encourage good corporate governance in the private sector.
